§1Acceptance of these terms

These Terms & Conditions ("Terms") are a binding agreement between you and Eligiara, a brand of The Nelson M Group LLC ("Eligiara," "we," "us"). They govern your use of eligiara.com and related services, among them email and text-message programs (the "Services"). By using the Services or submitting a form, you agree to these Terms, our Privacy Policy, and, if you opt in to texts, our SMS Terms. Disagree with any part of them? Then please do not use the Services.

§2What Eligiara is, and is not

Eligiara is an information service. We publish general, plain-language information about how clinical research works, how to read a study listing, what informed consent means, and which inquiries to ask a study team, and let visitors opt in to related updates. We do not give medical advice, diagnosis, or treatment, do not run, recruit for, or enroll people in clinical studies, and do not match or refer people to studies or research sites, and we do not share your details with study sponsors, research sites, recruiters, pharmaceutical or device companies, lead-generation companies, or any other partners.

• Decisions about your health and about taking part in any research are yours. Reading our content does not obligate you to do anything.
• Your doctor and the study team, not Eligiara, decide whether a study is right for you and explain its risks, procedures, and conditions.
• Every study is different. We will not guarantee that any study is safe, suitable, or open to you, or that you will qualify for or benefit from any research.

§3Eligibility

You need to be 18 or older, based in the United States, and able to form a binding contract before using the Services, and the data you submit must be your own or that of a person who authorized you to submit it.

§4Your information and accuracy

The information you give us must be accurate and current, and you agree to correct it when it changes. Provide only a mobile number that belongs to you or that you are authorized to use. If your number changes or is reassigned, please reply STOP from the old number or contact us so that we do not message someone else.

§5Communications and text-message consent

Opting in means you agree to hear from us by email and, for the boxes you check, by automated texts as explained in the SMS Terms. Consent to texts is optional, is not a condition of purchase or of using the Services, and may be withdrawn at any time by replying STOP. Message frequency varies. Message and data rates may apply. §6Text messaging: rates, frequency, STOP and HELP

• STOP: Reply STOP to any message to opt out (STOPALL, UNSUBSCRIBE, CANCEL, END and QUIT also work). You will get one confirmation text and then no more messages.
• HELP: Reply HELP to any message for help, or contact us by email at [email protected] or by phone at 888-427-0735.

Mobile information and opt-in data are not sold or shared with third parties or affiliates for marketing or promotional purposes. See the Privacy Policy and SMS Terms.

§7Acceptable use

Prohibited conduct includes: (a) false, misleading, or third-party information; (b) unlawful, fraudulent, or abusive use; (c) interference with the Services or unauthorized access attempts; (d) bots or automated form submission; (e) copying, scraping, or reselling content without permission; and (f) impersonation. We can suspend or end your access if you engage in any of it.

§8Third-party organizations and links

Organizations, programs, and products mentioned on or linked from the Services (say government agencies, hospitals, or patient organizations) are run by third parties. We never endorse any product, plan, or provider and are not responsible for the conduct, content, or results of third parties. Your relationship with any doctor or study team is between you and them.

§9Intellectual property

The Services, among them the Eligiara name, logo, text, graphics, and design, are held by us or our licensors and are protected by intellectual property laws. We give you a limited, revocable, non-exclusive, non-transferable license for personal, non-commercial viewing and use of the Services. Photos on the Site carry their own free-use licenses.

§10Disclaimers

The services and content come "as is" and "as available," without express or implied warranties like merchantability, fitness for a particular purpose, accuracy, and non-infringement. We cannot warrant that the services will be uninterrupted, error-free, or secure, nor that a message will be delivered or delivered on time.

Eligiara does not supply financial, legal, or tax advice, and makes no representation about any medical outcome, study result, or eligibility.

§11Limitation of liability

To the maximum extent the law permits, Eligiara and The Nelson M Group LLC, and their members, managers, officers, employees, and agents, will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, or goodwill, arising from or related to your use of (or inability to use) the services, or from any health or research decision you make or do not make. Our total liability for any claim relating to the services will not exceed one hundred U.S. dollars ($100).

Certain jurisdictions do not permit some limitations, so part of the above may not apply to you. These Terms do not limit any liability that the law does not allow to be limited.

§12Indemnification

You shall indemnify and hold harmless The Nelson M Group LLC and its affiliates and personnel from all claims, damages, and expenses (among them reasonable attorneys' fees) arising from violating these Terms, misusing the Services, or providing a phone number or other information without authorization.

§13Disputes, governing law, and arbitration

Informal resolution first. Please let us know about any problem first, at [email protected] and let us try to resolve it within 30 days.

Binding arbitration. Disputes between you and Eligiara or The Nelson M Group LLC that arise out of or relate to these Terms or the Services (other than small-claims matters and injunctive-relief claims for intellectual-property misuse) will go to final and binding individual arbitration with the American Arbitration Association under its Consumer Arbitration Rules. The venue is your county of residence, or video or phone if you prefer. The arbitrator may give the same individual relief a court could, and a court of competent jurisdiction may enter judgment.

Class-action waiver. You and Eligiara each waive, to the extent the law permits, any right to bring claims as a plaintiff or class member in a class, collective, or representative action; claims can be brought on an individual basis only.

Opt-out. Within 30 days of first accepting these Terms, you may decline arbitration by emailing [email protected] with "Arbitration Opt-Out" as the subject, and tell us your name and mobile number.

Governing law. These Terms are governed by the laws of the state in which The Nelson M Group LLC has its principal place of business, without regard to conflict-of-law rules, and the Federal Arbitration Act. Subject to the arbitration clause, the state and federal courts located in that state have exclusive jurisdiction.

§14Termination

You may stop using the Services at any time, and may opt out of messages by replying STOP. We may suspend or terminate access at our discretion, including for violations of these Terms. Sections that by their nature should survive (including disclaimers, limitation of liability, indemnification, and disputes) will survive termination.

§15Changes

We reserve the right to revise these Terms. Revised Terms will carry a new "Last updated" date, and your continued use of the Services after the effective date counts as acceptance. We will give notice of material changes as the law requires.

§16General

This is the entire agreement between you and us on this subject: these Terms plus the Privacy Policy and SMS Terms. The remainder survives if any part is unenforceable; failing to enforce a provision does not waive it. You need our consent to assign these Terms, while we may assign them in a merger or a sale of the business.
